Terms of service
Last updated: 22 October 2026
This is an English translation provided for convenience. The Italian version is the legally binding one and prevails in case of any discrepancy.
These terms govern the use of Nanus, the electronic invoicing and business management software available in the browser, on smartphones and as a desktop app (the “Service”). By creating an account or using the Service you accept them on behalf of the company or firm you represent (the “Customer”).
1. Provider
Maingage S.r.l., Via Grotte 42, 70013 Castellana Grotte (BA), tax code and VAT number 08372160724 , registered with the Bari Companies Register, REA no. BA-622760, share capital €10,000 fully paid up. Email info@nanus.it , certified email (PEC) maingage@pec.it.
2. Who the Service is for
The Service is intended for businesses, professionals, organisations and firms that use it for their own business or professional activity. It is not offered to consumers; for this reason the provisions of the Italian Consumer Code on distance contracts do not apply.
3. Account and team members
- The Customer provides true and up-to-date information and keeps its login credentials safe.
- The Customer may invite team members and assign them roles and permissions; it is responsible for their use of the Service as if it were its own.
- If you suspect unauthorised access, change your password and write to us immediately at info@nanus.it.
4. Plans and included documents
The features, price and number of documents included in each plan are those published on the Pricing page at the time of subscription. A document means any invoice, note or self-billing invoice sent to the Exchange System (SDI) and any invoice received through the SDI. If the Customer exceeds the threshold, the Service is not blocked: we offer an additional pack (500 documents for €49 excluding VAT) or an upgrade to the next plan. The Free plan is free of charge, runs on the desktop app, is limited to 100 documents a year and does not include automatic SDI submission or digital archiving.
5. Prices, payment and renewal
- Prices are annual, per company, excluding VAT, and are paid in advance.
- The subscription renews every year on the same terms unless cancelled from the account or by email at least 30 days before expiry.
- We may change prices with at least 60 days’ notice: the new terms apply from the next renewal and, if you do not accept them, you may cancel at no cost.
- In the event of non-payment we may suspend the paid features after a reminder that remains unanswered for 15 days. Data remains available for viewing and export.
6. Electronic invoicing and archiving
- On plans that include them, the Service sends and receives invoices through an intermediary accredited with the Exchange System and places them in digital archiving with a provider that complies with the AgID Guidelines.
- The content of invoices is the Customer’s responsibility. Nanus checks help avoid errors and rejections but do not replace verification by the Customer or its adviser.
- SDI outcomes and delivery times depend on the Italian Revenue Agency. The Service shows the receipts it obtains; the Customer reviews them and, in the event of rejection, corrects and resends the document within the legal deadlines.
7. Availability and support
We do our best to keep the Service available at all times. Scheduled maintenance is announced and, where possible, carried out outside business hours. Support answers by email on working days. The desktop app also works offline.
8. Customer data
- Data entered into the Service remains the Customer’s property.
- The Customer may export it at any time: invoices as XML, contacts and items as CSV, and a full copy via backup.
- When the contract ends, data remains available for export for 30 days and is then deleted, except for data we are legally required to keep. For documents already placed in digital archiving, we explain on request how to retain them until the legal retention periods expire.
9. Acceptable use
The Customer uses the Service lawfully and does not attempt to access other users’ data, circumvent its protections, overload it or decompile its software beyond what the law allows. We may suspend an account used in breach of these terms, notifying the Customer where possible.
10. Licence and ownership
For the term of the contract we grant the Customer a non-exclusive, non-transferable licence to use the Service. Nanus software, trademark and content remain the property of Maingage S.r.l.
11. Liability
We are liable for damage caused by the Service up to the amount paid by the Customer in the previous 12 months, except in cases of wilful misconduct or gross negligence. We are not liable for indirect damage, for penalties arising from data entered incorrectly by the Customer or from delays in correcting rejections, or for interruptions caused by the SDI, the network or force majeure.
12. Term and cancellation
The contract lasts one year from subscription and renews as described in section 5. The Customer may cancel at any time: the plan remains active until the end of the period already paid for, without partial refunds, except in the case of a price change. We may terminate with 90 days’ notice, refunding the unused portion of the fee.
13. Data processing agreement
For the personal data the Customer enters into the Service (for example that of its customers, suppliers and staff), the Customer is the data controller and Maingage S.r.l. is the data processor pursuant to Article 28 GDPR. Maingage S.r.l. undertakes to:
- process the data only to provide the Service and in accordance with the Customer’s documented instructions, which correspond to the use of the Service’s features;
- have the data processed only by authorised persons bound by confidentiality;
- adopt the security measures of Article 32 GDPR, described on the Security page;
- engage other processors (servers, email, SDI intermediary, archiving, payments) under contracts imposing the same obligations; the Customer gives general authorisation and is informed of changes, to which it may object;
- assist the Customer in responding to data subject requests and in complying with Articles 32 to 36;
- notify the Customer of a personal data breach without undue delay;
- delete or return the data at the end of the contract, as described in section 8;
- make available the information needed to demonstrate compliance with these obligations.
Processing concerns identification, contact, tax and payment data, for the term of the contract. The Service is not designed for special categories of data: the Customer avoids entering them in document descriptions, except where required by law.
14. Changes to these terms
We may update these terms to reflect changes to the Service or the law. Significant changes are communicated by email at least 30 days in advance; if you do not accept them, you may cancel before they take effect.
15. Governing law and jurisdiction
The contract is governed by Italian law. The Court of Bari has exclusive jurisdiction over any dispute.
16. Specific approval
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Customer specifically approves sections 5 (renewal, prices and suspension), 8 (data deletion), 9 (suspension), 11 (limitation of liability), 12 (cancellation and termination), 14 (changes) and 15 (jurisdiction).
